Our objective is to provide a friendly and practical eBusiness forum where participants no matter what their level of knowledge of eBusiness can feel comfortable asking questions and raising issues that are important to them.

1. Definitions

In these Terms and Conditions, the following terms will have the following meanings:

Discussion Forum means this Internet-based email discussion group on eBusiness issues;

Participant means any person who participates in the Discussion Forum;

Service means the facilitation by Enterprise Ireland of the email Discussion Forum.

Website means [the Enterprise Ireland Website];

2. Intellectual Property/Right to use the Service

2.1 You acknowledge that all copyright, trademarks and all other intellectual property rights arising out of the Service, the Discussion Forum and the material contained in the Discussion Forum and/or the Website vest in Enterprise Ireland and/or its agents.

2.2 You acknowledge that you are only permitted to use any material contained in the Discussion Forum and/or the Website as authorised by us and you further agree not to copy, reproduce, transmit, distribute or create derivative works of such material without the prior written authorisation of Enterprise Ireland.

3. Use of the Service

3.1 In consideration of you being allowed to participate in the Discussion Forum, you agree that you will not impersonate any other person or entity or use a false name that you are not authorised to use.

3.2 You agree not to use the Service for any improper, unlawful or immoral purpose, nor cause any nuisance by your use of the Service, nor cause the operation of the Service to be jeopardised or impaired.

3.3 You agree not to use the Service to create, host or transmit any defamatory, offensive or obscene material or engage in activities which would cause offence to others on grounds of race, creed or sex.

3.4 You agree not to use the Service to create, host or transmit material which infringes the copyright of any other party.

3.5 You may not use the Service to transmit unsolicited advertising material to other Participants.

3.6 Enterprise Ireland and/or its agents reserves the right to edit, delete or refuse publication of any material supplied by Participants for inclusion in the Discussion Forum.

3.7 Enterprise Ireland and/ or its agents reserves the right to use extracts from the discussion forum in the eBusiness Newsletter published by Enterprise Ireland and in any other publication by Enterprise Ireland relating to the promotion of eBusiness.

4. Limitation of Liability

4.1 Use of the service and the information contained in the Discussion Forum and/or the website is at your own risk.  Enterprise Ireland and/or its agents accept no liability for any material supplied by Participants.  Any views or opinions expressed are not necessarily those of Enterprise Ireland or its agents.  No responsibility for loss or distress occasioned to any person acting or refraining from acting as a result of the information contained in the Discussion Forum or the Website can be accepted by Enterprise Ireland or its agents.
 
4.2 Whilst all reasonable efforts are made to ensure that any information supplied by Enterprise Ireland and/or its agents (as opposed to information supplied by Participants) is accurate and complete, neither Enterprise Ireland or its agents make any representations or warranties, express or implied, in relation to the accuracy or completeness of said information.

4.3 Except as expressly set out in these Terms and Conditions, all representations, warranties, terms and conditions, whether express or implied, in relation to this Service or the information contained on the Website are hereby excluded to the greatest extent permitted by law.

4.4 In no event shall Enterprise Ireland or its agents be liable to you for indirect, special, incidental, punitive or consequential losses or damages (including loss of profits, revenue or goodwill) arising as a result of the Service or the information contained in the Discussion Forum or on the Website or any transaction made in reliance on the information contained in the Discussion Forum or on the Website.

5. Indemnity

You agree to indemnify Enterprise Ireland and its agents against any loss, damage or expense incurred by Enterprise Ireland and its agents arising out of your breach of any of these Terms and Conditions.

6. Termination

Without prejudice to any other rights or remedies, Enterprise Ireland and/or its agents may suspend or terminate forthwith your right to participate in the Discussion Forum if you are in breach of any of these Terms and Conditions.

7. General

7.1 These Terms and Conditions represent the entire agreement between the parties in relation to the subject matter thereof and supersedes any and all prior promises, representations, agreements, statements and understandings whatsoever between you and Enterprise Ireland.

7.2 These Terms and Conditions may be amended from time to time by Enterprise Ireland on notice to you.

7.3 Delay or failure by Enterprise Ireland and/or its agents in enforcing these Terms and Conditions shall not constitute a waiver by Enterprise Ireland or its agents of its rights and remedies.

7.4 If any part of these Terms and Conditions is held to be invalid or unenforceable, the validity or enforceability of the remainder will not be affected.

7.5 Neither party shall be liable for any loss suffered by the other or be deemed to be in default for any delays or failures in performance hereunder resulting from acts or causes beyond that party s reasonable control.

8. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Ireland and the parties submit to the exclusive jurisdiction of the Irish courts.
